Vice President, Senior Counsel

  • Draft and negotiate joint venture agreements, fund formation documents, purchase and sale agreements, loan agreements, offering circulars and other documents relating to SFR portfolios with top-tier institutional counterparties including private equity firms, investment banks, commercial lenders and other institutional investors;

  • Coordinate and oversee the legal aspects of significant strategic initiatives, including but not limited to, mergers and acquisitions, major product development and regulatory matters, assessing legal impact and implications, recommending means for accomplishing desired legal objectives, and implementing decisions through necessary legal processes;

  • Identify, analyze, and assess, including review and analysis of joint venture, financings and fund structures and drafting of related governing documentation and agreements;

  • Manage, supervise and mentor more junior attorneys in the transactions group, and participating in legal division management, and

  • Advise team leaders on complex legal matters related to the Company’s compliance with securities, real property and other relevant laws; key legal risk areas pertaining to real estate investments and structuring; and general legal matters as appropriate.


  • JD required; bar membership required; licensed to practice in the state of New York preferred; this position is based in the Company’s Austin, Texas headquarters

  • 8 to 10 years experience in transactional real estate finance, development or lending (or corporate joint ventures with real estate familiarity) at a nationally recognized, top tier law firm or in house at an investment bank, private equity or real estate finance company.

    Experience in structured finance and securitization of real estate assets a plus

  • Ability to run transactions to completion, work independently, exercise good judgment, and change direction or priorities on short notice.

  • Attention to detail is critical; professionalism and customer-centricity are a must.

  • Intelligent, energetic and goal-oriented with the ability to juggle multiple tasks, while exercising sound judgment.

  • A self-starter with the ability to follow through and complete tasks in a highly intellectual, collaborative environment.

  • Well-organized and detail oriented.

  • Excellent oral and written communication skills.

  • High competencies in strategic thinking and negotiation
